Job Description

The EIB, the European Union's bank is seeking to recruit for its Legal Directorate (JU) - Operational Policy, Mandates and Non-EU Operations Department (OPS-POL) - New Products and Operational Policy Division (NPP) - New Products Unit (NPU), at its headquarters in Luxembourg, a Banking and Finance Lawyer – New Products*.

Purpose

The New Products Unit is part of the New Products and Operational Policy Division and deals with new products development and implementation. The Unit advises on operations relating to innovative financing structures, including green bonds, risk sharing instruments, supply chain and trade finance, as well as cleantech thematic finance (primarily venturedebttype operations). The Division also handles for the Legal Directorate a broad range of transversal matters including the legal aspects of implementation of new policy or strategic initiatives, and questions of contractual standards/templates.

As a Banking and Finance Lawyer you will provide legal support to the operational Directorates on matters within the Division's remit, focusing on the development and the implementation of new products - including corporate finance, infrastructure and structured finance (risk sharing, securitisation), and contribute to the above-mentioned transversal matters.

Operating Network

You will report to the Head of Unit and cooperate with the other lawyers on the team. You will also liaise with other colleagues from the Legal Directorate, including Directors and General Counsel, as well as with counterparts in other Directorates. You role will involve liaising with external legal counsel and potentially with counterparts in DFIs, MFIs and other EU institutions.

Accountabilities

  • Manage contacts and negotiations concerning the EIB operations handled by the Division (within and outside the EU), working with documents subject to numerous jurisdictions and with counterparts in several countries.
  • Provide advisory legal support across all stages of the lending value chain, draft and finalise contracts, complete all related legal formalities and legal monitoring (including restructuring and other post-signature events), often with the assistance of external counsel.
  • Contribute to the development and implementation of new products and innovative financial instruments, including credit enhancements, risk sharing facilities, subordinated loans and quasi-equity financings, and market subscriptions.
  • Contribute to the development of standard legal documentation for the bank’s operations and to the sharing of knowledge on legal documentation for the Bank’s products.
  • Contribute to the development and evolution of contractual and operational policy.
  • Liaise with external consultants and supervise their work.
  • Support the implementation of new initiatives and mandates in EIB lending operations.
  • Conduct legal research and keep up to date with legal developments in legislation, regulations and jurisprudence, to maximise knowledge and offer informed legal advice.
  • Develop and maintain relationships within the Bank and represent the EIB externally.

Qualifications

  • University degree in law (minimum an equivalent to a Bachelor).
  • Professional legal qualification (past or current admission to a bar association, either in a common law or civil law jurisdiction).
  • At least 5 years of relevant professional experience, preferably in the field of banking and finance acquired with a reputable law firm or in-house legal function (including within a financial institution, asset manager, or large corporate group).
  • Experience in the area of structured finance, trade finance instruments, including under the OECD arrangement would be an advantage.
  • Significant experience in the drafting and negotiation of finance and/or equity documentation in English is required. Ability to work in French would be an advantage.
  • Excellent knowledge of English and/or French(***), with a good command of the other. Knowledge of other EU languages would be an advantage

(***) Unless stated explicitly as a required qualification, a good command of French is not a pre-requisite for hire. As both English and French are however official working languages of the EIB, proficiency in both languages is a pre-requisite for your future career development. Any language clause in your contract must be fulfilled in order for you to be eligible for a promotion (either via the annual appraisal cycle or via an internal selection process). Proficiency is understood to mean the attainment of level 5 of the Inter Institutional language courses, corresponding to B1.2 of the Common European Framework of Reference for Languages (CEFRL). The Bank offers appropriate training support.
