The Regulations and Governance Department (CRG), under the IFC Legal and Governance Vice-Presidency (CLSVPU), is responsible for setting business standards and providing advice and guidance to the IFC Board, Management, and business teams in relation to key areas of non-financial business risk that may arise in IFC investments, advisory work and corporate functions. . These four areas include:

•   The WBG Business Integrity Office
•   The WBG Conflicts of Interest Office (COI)
•   The Corporate Governance Unit, and 
•   The Nominee Directorships Center (ND Center) which advises investment teams on the exercise of IFC nomination and appointment rights to the boards of investee companies and investee funds’ advisory committees. The ND Center supports nominee directors in performing their fiduciary duties, adding value, and mitigating risk consistent with IFC’s values and development mandate.

The ND Center is seeking to hire a lawyer on an extended 1 year (renewable) term consultant contract (ETC), with a corporate legal background and an understanding of equity investments and conflict of interest management, to assist in the implementation and process automation of IFC’s Directorship Policies and Practices and provide support in managing conflicts of interest and developing mitigation plans for directorships.
The position is based in IFC Headquarters in Washington, DC and reports to the ND Center Counsel. 

Duties and Accountabilities: 
With support and guidance from the ND Center Counsel, the hired ETC will be responsible for various tasks related to the activities of the ND Center, including:

Directorship Nominations and Advisory Committee Appointments
•   Providing support with the review and approval of director nominations, observer and advisory committee member appointment memos.
•   Providing case-specific guidance to investment teams on compliance with internal policies, including in relation to eligibility of nominee directors and candidates.
•   Identifying jurisdiction specific limitation related to board appointments and the exercise of fiduciary duties.

Conflict of Interest Reviews and Mitigation
•   Conducting conflicts of interest analysis for nominees and drafting conflict of interest mitigation plans as needed.
•   Developing guidelines to facilitate the identification and mitigation of conflicts of interest

Automation & Reporting
•   Monitoring and reporting on policy waivers and exceptions to internal policies.
•   Monitoring and reporting on directorship management data gaps.
•   Identify IT Directorship system updates required for improved efficiencies and alignment with Policy updates. 
•   Assist in the design and implementation of processes, documentation and reporting automation initiatives using the Copilot suite, PowerBI, and other authorized tools. 

Learning & Knowledge Events
•   Assisting with webinars and events that facilitate knowledge-sharing.
•   Compiling guidance notes for investment teams and nominee directors.
•   Supporting the roll out of policy updates and improving templates 
•   Monitoring and ensuring timely availability of jurisdiction specific directorship questionnaires

Selection Criteria

 •   Law degree (JD/LLM) or relevant education in corporate law At least 5 years of relevant experience at a law firm, and/or in private equity or asset management, and/or at an international financial institution, particularly working with equity investments and investment stewardship.

•   Demonstrated ability to take on assignments and initiatives on legal/compliance subject matters
•   Familiarity with data and AI tools, systems and process automation experience a strong plus.
•   Demonstrated ability to assess risk in a practical and responsible manner and make fair, well-reasoned, and transparent decisions.
•   Familiarity with IFC’s operations and policies 
•   Excellent communication and interpersonal skills in English. 
•   Strong analytical and problem-solving skills, good business judgment to identify issues, and present creative and practical solutions.
•   Excellent organizational skills, and ability to manage a broad range of activities; ability to prioritize, to deal with frequent and unexpected changes, and to work with short deadlines.
•   Personal integrity, with demonstrated ability to handle confidential matters in a discreet and respectful manner.
